UTELL COMMUNICATIONS
Terms of Use
Effective 7 July 2026
These operational terms are a baseline for the console and service. They do not replace a signed master services agreement, service order, data-processing agreement, channel-provider terms, or legal review.
1. Service scope
Utell Communications provides APIs and operational tools for submitting, routing, delivering, and monitoring approved business communications. Available channels, providers, templates, delivery options, and tenant capabilities depend on the applicable configuration and agreement.
2. Authorised use
The service may be used only by authorised organisations and users for legitimate business communications. Users must protect credentials, access tokens, API keys, and configuration information; must not share accounts; and must promptly report suspected unauthorised access or service misuse.
3. Recipient permissions and consent
You are responsible for ensuring that you have an appropriate legal basis, required consent, and any channel-specific permission before communicating with a recipient. You must honour opt-out, unsubscribe, and similar preference requests promptly, and must keep any supporting records required by applicable law, contract, or provider policy.
4. Provider and channel rules
When using third-party communication providers, including the WhatsApp Business Platform, you must follow the applicable provider terms, content policies, message-template requirements, and acceptable-use rules. The service must not be used to send prohibited, deceptive, unlawful, abusive, or unsolicited communications.
5. Prohibited conduct
You must not use the service to distribute spam, malware, fraudulent content, harassment, disallowed regulated content, or material that infringes another party’s rights. You must not attempt to bypass rate limits, tamper with webhook verification, access another tenant’s data, probe protected systems, or interfere with service availability.
6. Security and operational controls
Communications may be validated, queued, logged, retried, rejected, or blocked according to security, routing, consent, and provider policy controls. You acknowledge that a request accepted by an API is not a guarantee of provider acceptance or final delivery. Delivery status can depend on recipient details, provider availability, account standing, content review, and external channel rules.
7. Data and privacy
Your use of Utell Communications is subject to the Privacy Notice. Each customer remains responsible for the personal information it supplies and for communicating with recipients. You must ensure that your privacy notices, instructions, retention settings, and disclosure obligations are appropriate for your use of the service.
8. Availability and changes
The service may be changed, maintained, suspended, or updated to address security, provider, operational, or legal requirements. Planned maintenance and material service changes should be communicated through the applicable support or release-management process where practical.
9. Suspension and termination
Access may be suspended or terminated where use presents a security, legal, provider-policy, payment, or operational risk, or where continued use would expose Utell, a customer, recipients, or providers to harm. Suspension does not remove outstanding obligations under the applicable agreement.
